Rules of Your Vancouver Dine-Out Experience Contest (2008)
Contest Rules
1. Agreement
These rules govern the YOUR VANCOUVER DINE-OUT EXPERIENCE CONTEST (2008)(the "Contest").
Before entering the Contest, each entrant must review and be subject to the Contest Rules.
No purchase is necessary to enter the Contest. The act of entering the Contest constitutes
acceptance of the Contest Rules and the decisions of BeyondMax Technologies Inc.
(the "Organizer") and public voters. All decisions of the Organizer and the voters are final.
Each Contestant must own all property rights (including copyrights) to the essays or photograph
essays (The "Submission") submitted by him/her to MealMax.com (the "Website"), and agrees to
transfer legal ownership of The Submission to the Organizer, as required under these Rules.
By entering the Contest, the Contestant is warranting to the Organizer that he/she owns such
property rights to The Submission submitted, and has effected such legal transfer of ownership
to the Organizer.
2. Contest Period
The Contest Period consists of two parts: (a) entry submission period: contestants are able
to submit their online entries to MealMax.com at any point between 12:01am ("PST") on January
16th 2008 and 11:59pm ("PST") on February 15th, 2008 (the "Contest Entry Submission Period");
b) voting period: online voting will open at MealMax.com at 12:01am ("PST") on January 16th
2008 and close at 11:59pm ("PST") on February 29th, 2008 (the "Contest Voting Period").
3. Eligibility
The Contest is open to individuals who reside in British Columbia and are at least 19 years of
age as at the beginning of the Contest Period. The Contest is not open to directors,
employees, contractors, immediate families of and anyone living with any employee
or contractor of the Organizer or its corporate affiliates, advertising or promotional
agencies or affiliates.
4. How to EnterThe Contest is an online contest. To enter the Contest, Contestant must sign up an account on MealMax.com (http://www.mealmax.com/signup), providing a valid email address. During the Contest Entry Submission Period, contestants need to log on to www.mealmax.com first and submit his/her Contest entry piece. Once submitted, entries will be available for the public to view online immediately. Contestant is allowed to submit multiple different entries and to update his/her submitted entries during the Contest Entry Submission Period. If an entry is submitted multiple times by the same account or different accounts, the Organizer reserves the right to disqualify and remove the entry. Requirements of Contest Entries The content of all entries must be related to the entrant's personal experience of dining in a restaurant or participating in a food event in Metro Vancouver. All entries must be accompanied with a title and a body of the entry. Photos are optional. Entries must be original, unpublished and unproduced, not accepted by any other publisher or producer at the time of submission. All submissions should contain no more than 20 photos, no larger than 10MB each. Digital photos may be submitted online as JPEG, GIF or PNG files. Copyright Entries must be original, unpublished, and not previously or currently submitted for consideration in any other contest or promotion. Entries must be conceived and created entirely by the Contestant, and may not be used or submitted to any other entity for concurrent publication or consideration. By entering this Contest, Contestants assign all rights of ownership of the entry to the Organizer, including copyright, publicity rights, and the rights to reprint and otherwise reproduce the text in promotional, advertising, training, and publicity materials for any purpose, and in any medium. Copyright laws apply for misuse or misappropriation of protected materials or elements that are not owned by the Contestant and/or which are subject to the rights of third parties and will be subjected to the governing law of Canada. The Contestant agrees to indemnify and hold harmless the Organizer against any claims or legal action for breach of copyright by third parties in relation to his or her Submission. Privacy By entering this Contest, you agree and consent that any information you provide upon entering may be used by Organizer in accordance with its Privacy Policy, available at http://www.mealmax.com/privacy. Voting During the "Contest Voting Period" the public will be able to vote on MealMax.com for the entries of their choices. Online voting does not require a MealMax account and anyone who is at least 19 years of age as at the beginning of the Contest Voting Period can vote for as many entries as he/she likes to. However, one person voting multiple times for the same entry is not allowed. Doing so goes against the spirit of the Contest and the Organizer reserves the right to disqualify votes that it believes do not follow these rules. Results from qualified votes will be used to determine the winning entries. 5. Prizes
Three prizes will be awarded to three winning contestants:

Publicity Except where prohibited, participation in the Contest constitutes the Contestant's and winner's consent to the Organizer's use of winners' name, city of residence, opinions, photograph, voice and/or image used in any and all forms of media and publicity, without further compensation by the Organizer and/or its advertising and promotional agencies. Works entered in this competition may be released for publicity and public relations purpose in connection with this competition. 6. Selecting WinnersThe three contestants who receive the three highest number of qualified votes by 12:00am ("PST") on March 1st, 2008 will be the winners. The Grand Prize will be awarded to the contestant who receives the highest number of votes, the Second Prize will be awarded to the contestant who receives the second highest number of votes and so on. If more than one contestants qualify for the same prize, they will split the prize(s) equally. For example, if there are four contestants receive the same highest number of votes, they will split the Grand Prize, the Second Prize and the Third Prize equally. Please note, the Organizer reserves the right at any time to disqualify any contest entries that are unrelated to the topic or are against the spirit of the Contest. On March 2nd, 2008, a random draw will be conducted by the Organizer to select one (1) voter from all eligible voters to win the Lucky Voter Prize . To be eligible to win the Lucky Voter Prize, a voter must be at least 19 years of age as at the beginning of the Contest Voting Period and needs to sign up for an account at MealMax.com with his/her valid email address. Odds of winning the Lucky Voter Prize are dependent upon the total number of eligible voters. On March 3rd, the Organizer will begin to contact the contestants who have qualified to win a prize. The Organizer will contact each such contestant by MealMax Message and email, once per day for five (5) business days. If the winner cannot be contacted after five (5) business days, or is contacted but is deemed to be ineligible in the Organizer's sole discretion, or unable or unwilling to comply with these rules, that contestant will be disqualified and another entry will be selected based on the vote number or another voter will be randomly draw. This process may be repeated until three (3) entrants and one (1) voter have been declared winners. Once the winning contestants have been contacted, the Organizer will publish on MealMax.com the wining entries and the number of votes each, as well as the winner of the Lucky Voter Prize. This will be posted at the earliest March 10th, 2008, but may be delayed by the selecting process. All the winners are required to provide their names and mailing addresses to the Organizer. The mailing addresses of the winners will be used only for the purpose of mailing the prize cheques. 7. Banning
The Organizer may, in its sole discretion, prohibit any person from entering the
Contest whom it believes to be abusing the Contest Rules or to be acting in a manner
against the spirit of the Contest. Such abuse includes, but is not limited to,
entering false information, entering a single entry multiple times, voting for a
single entry multiple times, and entering entries unrelated to the topic of the Contest.
8. Declaration and Release
The Contest entrants release and indemnify the Organizer and its subsidiaries,
affiliates and/or related companies and each of their officers, directors, shareholders,
employees, advisors, assignees, agents, licensees, representatives, advertising, media
and promotional agencies from any liability in connection with the Contest.
9. GeneralLost or misdirected Entries The Organizer is not responsible for any entries that are lost, misdirected, incomplete or illegible, or for the inability to process entries, or any errors, damage or negligence that may arise in connection with the Contest, including failed, partial or garbled computer transmissions, or for technical failures of any kind including, but not limited to, malfunctioning of any network, hardware or software, human error, or property damage which may limit a Contestant's ability to participate in the Contest. Proof of sending will not be proof of receipt by the Organizer. Computer Glitches The Organizer is not responsible for any on-line or other charges that may be incurred in connection with participating in the Contest. The Organizer is not responsible for the availability or content of any other website to which the websites referred to in these Contest Rules are linked (the "Websites"). The Organizer makes no representations or warranties and there are no conditions of any kind, express or implied, statutory or otherwise, with respect to the Websites, including without limitation, that the Websites will meet entrant's requirements, always be available, accessible, accurate or secure. Limitation of Liability The Organizer will not be liable for any damages of any kind including without limitation direct, indirect, incidental, punitive and consequential damages arising out of or in connection with participation in the Contest, the use of the Website, or downloading any materials in this Contest. Use of any method, mechanism, device, or software affecting the proper functioning of the Contest or the Website is strictly prohibited. The Organizer may, in its sole discretion and without notice, terminate the right of any Contestant in the Contest or user of the Website to participate in the Contest or use the Website, including disqualifying of any individual who tampers with the entry process. The Organizer shall not be responsible for any injuries, loss or damages of any kind (compensatory, direct, incidental, consequential or otherwise) with respect to, or in any way arising from the contestant's visit to any restaurants or participation in any events, this Contest, the prizes or any use of the prizes awarded, including but not limited to: (i) lost, stolen, not received, destroyed, damaged, misdirected, illegible, incomplete, fraudulent or late entries which will be void and not eligible; (ii) failure of the Website during the Contest period, including any problems or technical malfunction of any computer online systems, servers, access providers, computer equipment, software, failure of any email or entry to be received on account of technical problems or traffic congestion on the Internet or at any website, or any combination thereof including any injury or damage of a Contestant's or any other person's computer related to, or resulting from, downloading any material related to the Contest, all of which may affect a person's ability to participate in the Contest. The Organizer shall assume no liability of any kind whatsoever in any cases in which its inability to act results from an event or situation unforeseeable or beyond its control, including more particularly a strike, lock-out or any other labour dispute in its place of business or the places of business of the organizations or businesses whose services are used to hold this Contest. Indemnity By participating in this Contest, all Contestants (including the prize winners) agree to release and hold harmless the Organizer from any and all liability whatsoever for any injuries, losses or damages of any kind to any person or property arising from or in connection with, either directly or indirectly, (i) the awarding, acceptance, receipt, possession, use and/or misuse of any of the prizes or parts thereof awarded pursuant to the Contest, or (ii) the participation in the Contest or any prize-related activities. 10. Amendments
Any changes of the Contest or the Contest rules will be posted on the Website.
The Organizer reserves the right in its sole discretion to cancel, suspend or
modify the Contest or the Contest Rules at any time without notice. The Organizer
reserves the right to substitute any Prize with a prize of equal or greater value.
11. Caution
Any attempt by an entrant to deliberately damage any website or other components
or undermine the legitimate operation of the Contest is a violation of criminal
and civil laws and should such an attempt be made, the Organizer reserve the
right to seek damages from any such entrant to the fullest extent permitted by law.
12. Subject to Applicable Laws
This Contest is governed by the laws of British Columbia and Canada.

applicable therein. By participating in this Contest, entrants agree to be bound
by these Contest Rules and the decisions of the public voters and the Organizer in
awarding the Prizes, which decisions shall be final and binding upon all entrants.
Failure to comply with these Contest Rules may void the entrant's rights to any prize.
